Courses & LMS Terms of Service

These Courses & LMS Terms of Service (these "LMS Terms") govern your access to and use of the NRZTek Courses learning management system, including its catalog, lessons, interactive code playground, quizzes and exams, AI grading, certificates, subscriptions, and instructor and administrator consoles (collectively, the "LMS"). The LMS is provided by NRZTek, a division of NRZ Home Services, LLC, a Texas limited liability company ("NRZTek", "we", "our", or "us").

By creating an account, enrolling, or otherwise using the LMS, you agree to be bound by these LMS Terms, by our general Terms & Conditions, and by our Privacy Policy. These LMS Terms control for matters specific to the LMS; for all other matters the general Terms & Conditions apply. If you are using the LMS on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.

1. Definitions

  • "LMS Software" means the NRZTek Courses software platform and all of its source code, object code, database schemas, serverless functions, user interfaces, designs, documentation, and all other materials that make it up, together with all updates and modifications.
  • "Client" means an organization or individual that has entered into a written agreement with NRZTek to license or subscribe to the LMS.
  • "User" means any person who accesses the LMS, including students/learners, instructors, and administrators.
  • "Client Content" means course content, modules, lessons, assessments, questions, answer keys, rubrics, sample responses, and other materials that a Client or its instructors create or upload into the LMS, together with learner submissions and records ("Learner Data").
  • "License Agreement" means a separate signed written agreement (such as a subscription order, master software license agreement, or on-premises deployment agreement) between NRZTek and a Client.

2. Accounts, Eligibility, and Roles

  • You must provide accurate account information and keep your credentials confidential. You are responsible for activity under your account.
  • You must be at least 18 years old, or have the consent and supervision of a parent, guardian, or sponsoring institution that accepts these LMS Terms on your behalf.
  • The LMS uses role-based access (student, instructor, administrator). Authorization is enforced by NRZTek's servers; you must not attempt to obtain a role or access that has not been granted to you.

3. Proprietary Software — Ownership and License

The LMS Software is proprietary and confidential and is the exclusive property of NRZTek. It is licensed, not sold. NRZTek and its licensors retain all right, title, and interest in and to the LMS Software and every part of it, including all copyrights, trade secrets, trademarks, patents, and other intellectual property rights. All rights are reserved by NRZTek.

  • No transfer of ownership — ever. No ownership of the LMS Software is or will ever be transferred to a Client or User. Purchasing a subscription or license, or receiving access to or a copy of the LMS Software, conveys no ownership interest of any kind.
  • Limited license to use only. Subject to your compliance with these LMS Terms and any applicable License Agreement, NRZTek grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the LMS for your own internal learning or, for a Client, its internal training and education purposes, within the scope, user counts, term, and deployment model stated in the applicable License Agreement. A limited license to use under a specific written agreement is all that a Client receives when purchasing a license.
  • No license absent agreement. Except for browsing the public catalog and the free previews we choose to make available, use of the LMS is authorized only under an active subscription or License Agreement.

4. Restrictions

Except to the limited extent expressly permitted by a written License Agreement or by mandatory law that cannot be waived, you shall not, and shall not permit any third party to:

  • copy, reproduce, republish, or distribute the LMS Software, in whole or in part;
  • modify, adapt, translate, alter, improve, enhance, or create derivative works of the LMS Software;
  • sell, resell, rent, lease, lend, sublicense, assign, host for third parties, time-share, or otherwise commercially exploit or make the LMS Software available to any third party;
  • reverse engineer, decompile, or disassemble the LMS Software, or attempt to derive its source code, structure, or underlying ideas, except where this restriction is prohibited by law;
  • remove, obscure, or alter any proprietary, copyright, or confidentiality notice;
  • use the LMS Software to build, train, or develop a competing product or service, or for benchmarking, without our prior written consent;
  • deploy or run the LMS Software on your own or third-party infrastructure except under a written on-premises deployment agreement (Section 6); or
  • circumvent or disable any authentication, security, license-enforcement, or usage-metering mechanism, or interfere with the integrity or performance of the LMS.

For clarity, you have no right to modify, improve, or resell any part of the LMS Software.

5. Your Content and Data — Ownership Separated from the Software

  • Your content stays yours. As between you and NRZTek, Client Content and Learner Data remain the property of the Client and the User who created them. Course content that a Client or instructor adds to the LMS remains the property of that Client. NRZTek claims no ownership of your content or data.
  • The software stays ours. Your ownership of content and data does not extend to the LMS Software. The software used to store, deliver, grade, certify, or otherwise process your content remains the exclusive property of NRZTek. Putting content into the LMS, or generating output from it, grants you no rights in the LMS Software.
  • License to operate. You grant NRZTek a limited, non-exclusive license to host, copy, transmit, display, and process Client Content and Learner Data solely to provide, secure, maintain, support, and improve the LMS for you, and as described in our Privacy Policy.
  • Responsibility for content. You represent that you have the rights to upload your content and that it does not infringe third-party rights or violate law. You are responsible for the accuracy and lawfulness of instructor answer keys, rubrics, and course materials.
  • Export and deletion. On termination, you may export Client Content and Learner Data as provided in your License Agreement before it is deleted in the ordinary course.

6. Deployment Models — SaaS and On-Premises

  • SaaS (hosted). The LMS is offered principally as a hosted software-as-a-service subscription operated by NRZTek. You access the LMS over the internet; NRZTek retains custody of the running instance and is responsible for hosting and maintenance, subject to these LMS Terms and your subscription.
  • On-premises / client-hosted deployment. NRZTek may, at its sole discretion and only under a separate written on-premises deployment agreement, license a Client to install and run a designated build of the LMS Software on the Client's own servers. Any such deployment:
    • is a limited, non-exclusive, non-transferable, revocable license that conveys no ownership of the LMS Software;
    • prohibits modification, improvement, forking, redistribution, and resale, and requires all proprietary and confidentiality notices to be preserved;
    • specifies the permitted environments, instances, users, term, fees, and any source-code or escrow conditions, with any source or build provided remaining NRZTek's confidential property;
    • requires the Client to protect the software with reasonable security measures and permits NRZTek to audit compliance on reasonable notice; and
    • requires the Client, on expiration or termination, to cease use and delete or return all copies of the LMS Software and certify destruction.

No on-premises deployment right exists by default; it arises only when expressly granted in a signed agreement.

7. Subscriptions, Fees, and Payment

  • Paid courses and subscription plans are described at the point of purchase. Fees, billing intervals, and access tiers are as stated there or in your License Agreement.
  • Unless stated otherwise or required by law, fees are non-refundable, and subscriptions renew for successive periods until cancelled in accordance with the cancellation method we provide.
  • We may change plans and pricing prospectively; changes do not affect the current paid term already in effect.

8. AI Grading and Certificates

  • AI grading. Open-ended responses may be graded by an automated large-language-model system grounded in instructor answer keys and rubrics, with a transparent fallback when the AI service is unavailable. Automated grades are provided on an "as is" basis and may be reviewed or adjusted by an instructor. You will not attempt to manipulate or game the grading system.
  • Certificates. Certificates we issue are cryptographically signed and bound to a tamper-evident record of your coursework, and can be verified publicly. A certificate evidences completion under our criteria; it is not a transfer of any rights in the LMS Software, an accredited degree, or a guarantee of any outcome. You must not forge, alter, or misrepresent a certificate.

9. Acceptable Use

You agree not to use the LMS to violate any law; infringe intellectual property or privacy rights; upload malware or harmful code; gain unauthorized access to any account, role, or system; scrape or bulk-extract content; or disrupt the LMS or other Users. The in-browser code playground is provided for course exercises only and must not be used to attack, probe, or abuse any system.

10. Confidentiality of the Software

The LMS Software embodies NRZTek's confidential information and trade secrets. You will hold it in confidence, use it only as authorized, and protect it from unauthorized access or disclosure using at least a reasonable standard of care. This obligation survives termination.

11. Warranties and Disclaimers

The LMS is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation, except to the extent expressly stated in a signed License Agreement. NRZTek does not warrant any particular learning result, score, or certification outcome.

12. Limitation of Liability

To the maximum extent permitted by law, NRZTek will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the LMS, even if advised of the possibility. NRZTek's total cumulative liability arising out of or related to the LMS will not exceed the fees you paid for the LMS in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100) if no fees were paid.

13. Suspension and Termination

We may suspend or terminate access for breach of these LMS Terms, non-payment, or risk to the security or integrity of the LMS. Any license terminates automatically on expiration of your subscription or License Agreement, or on breach. Upon termination, your right to use the LMS Software ceases, you must stop all use, and, for any on-premises deployment, you must delete or return all copies and certify destruction. Provisions concerning ownership, restrictions, confidentiality, disclaimers, limitation of liability, and governing law survive.

14. Governing Law and Venue

These LMS Terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. The exclusive venue for any dispute arising under these LMS Terms is the state and federal courts located in Bandera County, Texas, and each party consents to personal jurisdiction in those courts.

15. Changes to These LMS Terms

We may update these LMS Terms from time to time. The updated version is indicated by a revised "Effective date". Continued use of the LMS after changes take effect constitutes acceptance of the updated LMS Terms.

16. Relationship to Other Agreements

These LMS Terms incorporate, and should be read together with, the LICENSE that accompanies the LMS Software and our general Terms & Conditions. In the event of a conflict between these LMS Terms and a signed License Agreement, the signed License Agreement controls for the matters it expressly addresses; otherwise these LMS Terms and the LICENSE apply.
